AdZay! is a service provided by Elite Concepts, Inc. ("we", "us", "our"). By accessing or using our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our services.

To use certain features of AdZay!, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
4. Intellectual Property
All content included on this site, such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Elite Concepts, Inc. or its content suppliers and protected by United States and international copyright laws.
5. User Conduct
You agree not to:
Use the service for any illegal purpose or in violation of any local, state, national, or international law.
Violate any rights of third parties, including copyright, trademark, privacy, or other personal or proprietary rights.
Upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the service.
6. Payments
Advertisers agree to pay for clicks or impressions according to the rates set forth on our website. Publishers will be paid according to the agreed-upon revenue share. All payments are processed through PayPal or Check, with weekly payouts.
7. Termination
We may terminate or suspend your access to our service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
8. Limitation of Liability
In no event shall Elite Concepts, Inc., its directors, officers, employees, or agents be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses.
9. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
